Agreement to Terms

By downloading, accessing, or using the Upset mobile application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

Description of Service

Upset is a mobile application that allows users to:

• Make predictions on UFC fight outcomes
• Track prediction accuracy over time
• Compete on leaderboards with other users
• Share posts and interact with the community

Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

Account Registration

Account Creation

To access certain features, you must create an account by providing a valid email address, a unique username, and a secure password. You may also sign in with Google or Apple authentication.

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized access.

One Account Per Person

You may only create and maintain one account. Creating multiple accounts to manipulate leaderboards or statistics is prohibited and may result in account termination.

User Conduct

You agree NOT to:

Cheating and Manipulation

• Create multiple accounts to manipulate statistics or leaderboards
• Use automated tools, bots, or scripts to make picks
• Exploit bugs or vulnerabilities for unfair advantage
• Collude with others to manipulate rankings

Harmful Content

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful
• Impersonate any person or entity
• Post spam, advertisements, or promotional content
• Share others' personal information without consent

Technical Violations

• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's operation
• Reverse engineer, decompile, or disassemble the App
• Circumvent any security measures

User Content

Your Content

You retain ownership of content you create (posts, comments). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the App.

Content Standards

User content must not:

• Violate any applicable law
• Infringe on intellectual property rights
• Contain malware or harmful code
• Be misleading or fraudulent

Content Moderation

We reserve the right to remove any content that violates these Terms, suspend or terminate accounts that repeatedly violate guidelines, and report illegal content to appropriate authorities.

Picks and Statistics

Your picks are recorded permanently to maintain leaderboard integrity. Picks cannot be deleted but can be made private. Pick history contributes to community statistics.

Leaderboard Integrity

Leaderboards are based on legitimate prediction accuracy. We take the integrity of our leaderboards seriously. We may monitor for suspicious activity patterns, investigate reports of cheating, remove users from leaderboards for violations, and reset statistics for users who violate fair play rules.

Leaderboard rankings and statistics are calculated automatically based on official fight results. We are not responsible for disputes regarding fight outcomes determined by UFC or athletic commissions.

Intellectual Property

Our Property

The App, including its design, features, code, and content (excluding user content), is owned by us and protected by intellectual property laws.

UFC and Fighter Information

UFC, fighter names, event names, and related trademarks are property of their respective owners. We are not affiliated with, endorsed by, or sponsored by UFC or Zuffa, LLC. Fight data is sourced from publicly available information for informational purposes.

Your License

We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

Subscriptions and In-App Purchases

Free and Pro Tiers

The App offers a free tier with limited functionality and a paid subscription (“Upset Pro”) that unlocks additional features:

• Free Tier: Make picks for up to 2 events, create up to 5 posts, no image uploads
• Upset Pro: Unlimited picks, unlimited posts, image uploads, and full leaderboard access

Pricing and Free Trial

• Monthly: $3.99/month
• Yearly: $29.99/year (save 37%)

Both plans include a 7-day free trial. You will not be charged during the free trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.

Payment and Renewal

Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.

Managing and Canceling Subscriptions

You can manage or cancel your subscription at any time through your device's Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period — you will retain access to Pro features until then.

Refunds

All purchases are processed by Apple through In-App Purchase. Refund requests must be submitted to Apple directly at reportaproblem.apple.com. We do not process refunds directly.

Price Changes

We may change subscription prices at any time. If we increase the price of your subscription, Apple will notify you and require you to opt in to the new price before renewal.

Third-Party Services

The App integrates with third-party services:

• Convex: Database, backend functions, and authentication
• Google/Apple: Sign-in authentication
• Sentry: Error monitoring
• RevenueCat: Subscription and purchase management
• Cloudflare R2: Image storage

Your use of these services is subject to their respective terms and privacy policies.

Disclaimers

“As Is” Basis

The App is provided “as is” and “as available” without warranties of any kind, express or implied.

No Guarantees

We do not guarantee that:

• The App will be uninterrupted or error-free
• Fight data will be accurate or timely
• Leaderboards will be free from manipulation
• The App will meet your specific requirements

Not Gambling

The App does not involve real money gambling. We do not accept bets or wagers, pay out winnings, or facilitate gambling transactions.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data or statistics, leaderboard ranking changes, inability to access the App, or any other intangible losses.

Our total liability shall not exceed the amount you paid to use the App in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the App, your violation of these Terms, your violation of any rights of another party, or your user content.

Account Termination

By You

You may delete your account at any time through the App settings or by contacting us.

By Us

We may suspend or terminate your account if you violate these Terms, engage in cheating or manipulation, create multiple accounts, post prohibited content, or engage in any activity we deem harmful to the App or community.

Effect of Termination

Upon termination:

• Your access to the App will be revoked
• Your profile and posts will be removed
• Your statistical data may be retained in anonymized form
• You may not create a new account without our permission

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms in the App, updating the “Last Updated” date, and sending a notification for significant changes. Continued use after changes constitutes acceptance.

Governing Law

These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law principles.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
